• By accessing or using the ReUnited Platform, you (“Broker”, “Member”, or “User”) agree to these Terms of Service, the Service Level Agreement (SLA), and the Privacy Policy. If you do not agree, please discontinue use of the Platform.
• ReUnited is India’s first broker-to-broker real estate collaboration network connecting verified brokers nationwide through a subscription-based model. ReUnited is not a broking firm and does not charge any commission.

1. DEFINITIONS

• “Platform”: ReUnited website, apps, and related services.
• “Broker” / “Member”: A licensed, RERA-registered real estate professional using ReUnited.
• “Seller Listing Mandate (SLM)”: Authorisation allowing a broker to list a property.
• “Subscription”: The paid membership plan selected by the Broker.
• “Services”: All features, tools, offline meetings, and functionalities provided by ReUnited.
• “Agreement”: These Terms of Service + SLA + Privacy Policy.

2. ELIGIBILITY & ACCOUNT REGISTRATION

• Brokers must be 18+ and legally competent.
• Valid RERA registration is mandatory.
• Registration requires accurate details:
  • Name, email, phone
  • RERA number
  • Brokerage licence details
  • PAN (if annual fee > ₹50,000)
  • GST (if applicable)
• Users must maintain login confidentiality and report unauthorized access immediately.
• ReUnited may reject, suspend, or terminate accounts at its discretion.

3. REUNITED SERVICE COMMITMENTS (SLA)

3.1 Platform Availability

• ReUnited commits to maintaining 99.5% monthly uptime, excluding:
  • Scheduled maintenance (max 4 hours/month)
  • Emergency security maintenance
  • Failures caused by third-party infrastructure
  • User’s device or internet issues
• Scheduled maintenance will be communicated at least 24 hours in advance.

3.2 Monthly Offline Regional Meeting

• ReUnited will conduct one (1) offline in-person meeting per region every month, featuring:
  • Market and regulatory updates
  • Deal presentations
  • Networking and collaboration sessions
  • Knowledge/training modules
• Meeting details will be announced 7 days in advance.

3.3 Support & Response Time

• Critical (Platform down): Response within 2 hours | Target resolution: 12 hours
• High (Major feature issue): Same business day | Target resolution: 24–48 hours
• Medium: Within 24 hours | Target resolution: 3–5 days
• Low: Within 48 hours | Target resolution: As per product roadmap
• Support channels: email, WhatsApp, or in-app support.

4. BROKER OBLIGATIONS & RERA COMPLIANCE

• Brokers represent and warrant that:
  • They possess legal rights and SLMs to list properties.
  • All listings and information provided are accurate and compliant with RERA.
  • They will maintain valid RERA registration throughout subscription.
• ReUnited may verify registrations and suspend non-compliant listings.

5. SUBSCRIPTION FEES & PAYMENT TERMS

• ReUnited operates only on a subscription model; no commissions are charged.
• All fees are payable in advance.
• Subscription may auto-renew with prior notification.
• Payments are processed only through RBI-approved gateways.
• PAN mandatory above ₹50,000 annual subscription.
• Delayed payments attract 18% annual interest.
• Non-payment leads to automatic cancellation, listing removal, and reactivation fees of ₹5,000.
• Fee changes will be notified 30 days in advance.

6. DISPUTES & REFUNDS

• Payment disputes must be reported within 7 days.
• Billing errors must be reported within 30 days.
• Direct chargebacks lead to immediate suspension.
• Refunds follow the 7-day refund policy from date of subscription.

SLA-Linked Compensation

• If ReUnited fails to maintain 99.5% uptime or fails to conduct the monthly offline meeting, the Member may receive:
  • 7-day membership extension, OR
  • A credit voucher as mutually agreed.
• No cash refunds unless mandated by law.

7. USER-GENERATED CONTENT & DATA RIGHTS

• Users grant ReUnited a licence to display and distribute uploaded property data.
• Content must be lawful, accurate, and owned by the Broker.
• ReUnited may use data for analytics and platform improvement.
• Brokers consent to receive transactional & promotional communications.

8. PROHIBITED ACTIVITIES

• Resell or share accounts
• Upload false or misleading listings
• Impersonate others
• Access systems without authorization
• Upload malware
• Use bots or scrapers
• Post abusive, illegal, or harmful content
• Violate confidentiality
• Post content harmful to national security
• Violation may result in suspension, blacklisting, and legal action without refunds.

9. LIMITATION OF LIABILITY

• ReUnited’s total liability is limited to the last two months' subscription fees.
• No liability for indirect, incidental, or consequential damages.
• ReUnited is not responsible for:
  • Third-party conduct
  • RERA violations by Brokers
  • Accuracy of listings
  • Business losses arising from deals

10. INDEMNIFICATION

• Brokers shall indemnify ReUnited against claims arising from:
  • Breach of these terms
  • RERA violations
  • Incorrect property details
  • Intellectual property infringement
  • Data breaches caused by user negligence

11. TERMINATION & SUSPENSION

• Immediate termination for fraud, fake SLMs, false listings, or RERA violations.
• No refunds on termination for violations.
• User-requested cancellation follows refund policy.
• Certain clauses (IP, indemnity, limitation of liability) survive termination.

12. DATA RETENTION

• User data is retained for operational, legal, and analytics purposes.
• Deletion requests are governed by the Privacy Policy and applicable laws.

13. COMMUNICATION CONSENT & DND OVERRIDE

• Brokers consent to receive:
  • Calls (may be recorded)
  • SMS
  • WhatsApp
  • Emails
• Users may opt out of promotional messages anytime.

14. INTELLECTUAL PROPERTY

• All trademarks, logos, software, and content belong to ReUnited.
• Users receive a limited, revocable, non-transferable licence.
• No reproduction, redistribution, or modification without written consent.

15. DISCLAIMERS

• Platform provided “as is.”
• No guarantee of lead generation or closed deals.
• No responsibility for third-party service providers or technical failures.

16. ARBITRATION & GOVERNING LAW

• Mandatory arbitration in New Delhi, as per the Arbitration and Conciliation Act, 1996.
• Arbitrator appointed by ReUnited.
• Claims must be filed within 30 days of dispute.
• Governed by Indian law.

18. MISCELLANEOUS

• Amendments: Terms may be updated at any time without prior notice.
• Assignment: Users cannot transfer rights or accounts.
• Notices: Will be sent to registered email.
• Severability: Invalid provisions do not affect the rest.
• Waiver: Failure to enforce rights does not constitute waiver.
• Force Majeure: ReUnited is not liable for uncontrollable events.
• Entire Agreement: These Terms + SLA + Privacy Policy supersede earlier agreements.
